These Terms and Conditions ("Terms") constitute a legally binding agreement between you and JBS Ventures LLC (doing business as Motrix) ("Company," "we," "us," or "our") concerning your access to and use of the usemotrix.com website and our Services. By accessing or using our Services, you agree to be bound by these Terms.
1. Our Services
The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. We reserve the right to modify or discontinue the Services at any time without notice.
2. Intellectual Property
The Services and all original content, features, and functionality are owned by JBS Ventures LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our content without our prior written consent.
3. User Representations
By using the Services, you represent and warrant that: (1) you have the legal capacity and agree to comply with these Terms; (2) you are not a minor in the jurisdiction in which you reside (you must be at least 18 years old); (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.
4. User Registration
You may be required to register to use certain parts of the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. Purchases and Payment
We accept the following forms of payment: Visa, Mastercard, American Express, Discover, Apple Pay, and Google Pay. You agree to provide current, complete, and accurate purchase and account information. Sales tax will be added to the price where required. We reserve the right to refuse any order placed through the Services.
6. Subscriptions
Your subscription to the Services will automatically renew at the end of each subscription period unless you cancel it. We reserve the right to change subscription fees with reasonable notice. If you cancel after a billing cycle has started, you will not receive a refund for that period but will retain access through the end of the paid term.
7. Software
We may include software for use in connection with our Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use of the software. If there is no EULA, we grant you a non-exclusive, revocable, personal, non-transferable license to use the software solely in connection with our Services.
8. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:
- Systematically retrieving data or content from the Services to create or compile a collection, database, or directory
- Tricking, defrauding, or misleading us or other users, especially in any attempt to learn sensitive account information
- Circumventing, disabling, or otherwise interfering with security-related features of the Services
- Using the Services to advertise or offer to sell goods and services not authorized by us
- Uploading or transmitting viruses, Trojan horses, or other harmful material
- Making unauthorized use of our Services, including collecting usernames and/or email addresses of users by electronic or other means
- Attempting to impersonate another user or person or using another user's username
- Using the Services in a manner inconsistent with any applicable laws or regulations
9. User Contributions
The Services may invite you to contribute content such as chat messages, photos, or other materials. User Contributions must not violate the privacy or publicity rights of any third party, contain material that is abusive, obscene, indecent, or otherwise objectionable, or violate any applicable law.
10. Contribution License
By posting User Contributions, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or control all rights to your contributions.
11. Guidelines for Reviews
We may accept, reject, or remove reviews at our sole discretion. Reviews must not contain offensive profanity, references to illegal activity, or any false or misleading statements. You must not be affiliated with competitors when posting reviews, and you must disclose any relationships with us. We do not endorse any review posted on the Services.
12. Mobile Application License
If you access the Services via a mobile application, we grant you a non-exclusive, non-transferable, revocable license to install and use the mobile application for your personal, non-commercial purposes, strictly in accordance with the terms of this license. You may not copy, reverse engineer, decompile, or disassemble the application.
13. Social Media
As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers. By connecting your social media account, you represent that you are entitled to disclose your login information to us, and that such disclosure does not breach any third-party terms of service.
14. Third-Party Websites and Content
The Services may contain links to third-party websites. We do not investigate, monitor, or check such websites for accuracy, and we are not responsible for any losses or damages that may arise from third-party interactions. Any purchases made through third-party websites will be governed by their terms and policies.
15. Services Management
We reserve the right to: (1) monitor the Services for violations of these Terms; (2) take appropriate legal action against anyone who violates the law or these Terms; (3) restrict or deny access to the Services; (4) remove or disable content that is burdensome to our systems; and (5) otherwise manage the Services to protect our rights and property.
16. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy. The Services are hosted in the United States. If you access the Services from other regions, you consent to the transfer of your data to the United States.
17. Term and Termination
These Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason at all. If we terminate your account, you are prohibited from registering a new account under your name or a false name. We also reserve the right to take appropriate legal action.
18. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We will not be liable for any downtime or interruptions to the Services. We cannot guarantee the Services will be available at all times.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be instituted in a court of competent jurisdiction in Florida.
20. Dispute Resolution
Binding Arbitration. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Broward County, Florida, and shall be conducted in English. The arbitrator's decision shall be final and binding.
Waiver of Class Actions. You agree to resolve any disputes with us on an individual basis and waive your right to bring or participate in a class action or class arbitration.
Exceptions. Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
21. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information on the Services at any time without prior notice.
22. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
23. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF THE AMOUNT PAID BY YOU IN THE SIX MONTHS PRIOR TO THE CLAIM OR $100 USD.
24. Indemnification
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand arising out of: (1) your use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties; (4) your violation of the rights of a third party; or (5) any harmful act toward any other user of the Services.
25. User Data
We will maintain certain data that you transmit to the Services for the purpose of managing the Services. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.
26. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending emails to us, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
27. SMS Text Messaging — Motrix Alerts Program
Program name: Motrix Alerts.
Description: Transactional SMS notifications from Motrix Acquisition Systems related to your active deal mandate, including dealer responses to your offers, counter-offer windows, deal status changes, vehicle approval requests, one-time authentication passcodes, and critical account events. Messages are sent only to phone numbers associated with registered accounts that have explicitly opted in.
How to opt in: You opt in by checking an explicit consent checkbox while either (a) creating your account at usemotrix.com/login and entering a phone number, (b) submitting an Acquisition Brief at usemotrix.com/app/brief, or (c) toggling SMS notifications ON in your account settings. The toggle is OFF by default. We record the timestamp of your consent.
Message frequency: Variable, based on your active deal activity. Typical: 5-15 messages per active deal. Outside of an active deal, messages are rare (typically only billing or critical account events).
Message and data rates may apply. Standard rates from your mobile carrier — Motrix does not charge for SMS itself.
To opt out: Reply STOP to any message at any time. You will be immediately unsubscribed and receive a single confirmation: "Motrix: You're unsubscribed from SMS. No further messages will be sent." Other supported aliases: STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT.

Privacy: Phone numbers are stored encrypted, used only for the SMS messages described above, and are never sold or shared with third parties for marketing purposes. SMS opt-in is independent of email opt-in. See our Privacy Policy and the dedicated SMS Terms page for full details.
Carrier: SMS delivery is operated by Twilio Inc. on behalf of Motrix.
28. California Users and Residents
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.
29. Miscellaneous
These Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severable from these Terms and will not affect the validity of the remaining provisions.
30. Buyer Agency Authorization and Disclaimer
By subscribing to or using Motrix's negotiation services, you expressly authorize JBS Ventures LLC (dba Motrix) to act as your designated acquisition agent and to contact automobile dealerships and their representatives on your behalf. You understand and agree that:
- Motrix is not a licensed automobile dealer, broker, or financing institution in any state.
- Motrix acts solely as a technology-enabled buyer's agent and does not take title to vehicles.
- All final purchase decisions, financing arrangements, and contractual obligations with dealerships remain solely yours.
- Motrix makes no representations or warranties regarding the quality, pricing, availability, or condition of any vehicle.
- Motrix is not responsible for the acts or omissions of any automobile dealer.
- You expressly consent to Motrix sharing your contact information and vehicle preferences with dealerships as necessary to facilitate negotiations on your behalf.
